In addition, please provide detailed performance information: Number of Songs, Song Names, Dances and length of each, Number of performers in your group, and time needed for sound check, and load in & load out.

	Workers Compensation Workers Compensation Insurance is required by the laws of the State of California for any company, business, or organization that has employees. If applicable to any contractor/participant/vendor/exhibitor, proof of Workers Compensation Insurance will be required. City and its officers, officials, employees, agents and representatives (collectively, �City Personnel�) shall not be responsible for any claims in law or equity occasioned by failure of the Contractor to comply with this section or with the provisions of law relating to Workers� Compensation.

	Indemnification Performer shall indemnify, defend, and hold City and City Personnel harmless from and against any and all actions, suits, claims, demands, judgments, attorney�s fees, costs, damages to persons or property, losses, penalties, obligations, expenses or liabilities (herein �claims� or �liabilities�) that may be asserted or claimed by any person or entity arising out of the willful or negligent acts, errors or omissions of Performer, its employees, agents, representatives or subcontractors in the performance of any tasks or services for or on behalf of City, whether or not there is concurrent active or passive negligence on the part of City and/or City Personnel, but excluding such claims or liabilities arising from the sole active negligence or willful misconduct of City or City Personnel. In connection therewith: Performer shall defend any action or actions filed in connection with any such claims or liabilities with legal counsel acceptable to City, and shall pay all costs and expenses, including attorney�s fees incurred in connection therewith. Performer shall promptly pay any judgment rendered against City or any City Personnel for any such claims or liabilities. In the event City and/or any City Personnel is made a party to any action or proceeding filed or prosecuted for any such damages or other claims arising out of or in connection with the negligent performance or a failure to perform the work or activities of Performer, Performer shall defend City and City Personnel and shall pay to City any and all costs and expenses incurred by City or City Personnel in such action or proceeding, together with reasonable attorney�s fees and expert witness fees.

	Performance Agreement Independent PERFORMER. PERFORMER shall perform all services required herein as an Independent Contractor of City and shall remain at all times as to CITY a wholly Independent Contractor. PERFORMER shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of CITY. CITY is under no obligation to withhold State and Federal tax deductions from PERFORMER�s compensation. PERFORMER shall be responsible for all reports and obligations regarding its employees, including, but not limited to: the payment of social security taxes, income tax withholding, unemployment insurance, disability insurance, and workers' compensation insurance. Standard of Performance. PERFORMER agrees that all services shall be performed in a competent, professional, and satisfactory manner in accordance with standards prevalent in the industry, and that all goods, materials, equipment, or personal property in conjunction with said services shall be of good quality, fit for the purposes intended. Use of Copyrighted or Patented Materials. PERFORMER shall assume all costs and legal liabilities arising from the use of patented or copyrighted materials, including but not limited to music and written materials, equipment, devices, processes, and software programs, used or incorporated in the services or work performed by PERFORMER under this Agreement, including license fees and permission(s) for use of copyrighted material(s). PERFORMER shall indemnify, defend, and save the City harmless from any and all suits, actions or proceedings of every nature for or on account of the use of any patented or copyrighted materials. Performance to Satisfaction of City. PERFORMER agrees to perform all work to the satisfaction of City within the time specified herein. If City reasonably determines that the work is not satisfactory, City shall have the right to take appropriate action, including but not limited to: (i) immediately terminating the performance; (ii) withholding payment; or (iii) terminating this Agreement as hereinafter set forth.

This application does not guarantee your participation in the event. The City of Irvine retains the right to accept or reject applications based on appropriateness, availability, duplication of service, and/or other criteria as deemed necessary.

All participants are asked to respect each other and the mission of the Festival to promote cultural harmony by utilizing the Open Public Forum for political messages and solicitation.
